Terms of Service

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", or "your") and Hostaxo LLC ("Hostaxo", "we", "us", or "our") governing your access to and use of the Hostaxo website (hostaxo.com) and all services, products, and content provided by Hostaxo (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By registering for, accessing, browsing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and to comply with all applicable laws and regulations. If you do not agree to these Terms, you must not access or use the Services.

You represent and warrant that you are at least 18 years of age or have the legal capacity to enter into binding contracts in your jurisdiction. If you are using the Services on behalf of a company or other entity, you represent that you have the authority to bind such entity to these Terms.

Hostaxo provides a range of web hosting, cloud hosting, and related services, including but not limited to:

• Web hosting services
• WordPress hosting and managed WordPress services
• WooCommerce hosting
• Cloud hosting and VPS (Virtual Private Server) hosting
• Domain name registration and management
• Email hosting services
• Website builder tools and AI-powered website creation
• SSL certificates and security services
• Backup and migration services

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We do not guarantee that the Services will be available at all times or that they will be error-free.

3. Account Registration and Security

To access certain Services, you must create an account with Hostaxo. When registering, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate, current, and complete
• Maintain the security of your account credentials and password
• Accept responsibility for all activities that occur under your account
• Notify Hostaxo immediately of any unauthorized use of your account or any other breach of security

You are solely responsible for maintaining the confidentiality of your account credentials. Hostaxo will not be liable for any loss or damage arising from your failure to comply with this section.

4. Payment Terms and Billing

4.1 Fees and Payment: All fees for Services are displayed on hostaxo.com and are payable in advance. You agree to pay all fees associated with your use of the Services in accordance with the pricing and payment terms presented to you at the time of purchase.

4.2 Billing Cycle: Services are billed on a recurring basis (monthly, annually, or as otherwise specified) unless otherwise stated. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

4.3 Price Changes: Hostaxo reserves the right to modify pricing at any time. Price changes will not affect your current billing period but will apply to subsequent billing cycles. We will provide at least 30 days' notice of any price increases.

4.4 Payment Methods: We accept payment via credit card, debit card, PayPal, and other payment methods as specified on our website. You authorize Hostaxo to charge your selected payment method for all fees.

4.5 Failed Payments: If payment fails, we may suspend or terminate your Services. You are responsible for any fees incurred in connection with failed payment attempts.

4.6 Refunds: Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference.

4.7 Taxes: All fees are exclusive of applicable taxes, duties, and government charges. You are responsible for paying all taxes associated with your purchase of Services, except for taxes based on Hostaxo's income.

5. Acceptable Use Policy

You agree not to use the Services for any unlawful purpose or in any way that could damage, disable, overburden, or impair Hostaxo's servers or networks. Prohibited activities include, but are not limited to:

• Illegal Activities: Any activity that violates applicable local, state, national, or international laws or regulations
• Spam and Unsolicited Communications: Sending unsolicited bulk emails, messages, or communications (spam)
• Malware and Viruses: Distributing malware, viruses, Trojan horses, worms, or other harmful code
• Phishing and Fraud: Engaging in phishing, identity theft, or any fraudulent activity
• Copyright Infringement: Hosting, distributing, or linking to copyrighted material without authorization
• Resource Abuse: Using excessive server resources that negatively impact other users or the stability of our infrastructure
• Prohibited Content: Hosting content that is defamatory, obscene, pornographic, hateful, or promotes violence or discrimination
• Security Violations: Attempting to gain unauthorized access to Hostaxo systems or other users' accounts
• Network Abuse: Engaging in activities that disrupt or interfere with Hostaxo's network or services

Hostaxo reserves the right to suspend or terminate your account immediately, without notice or refund, if you violate this Acceptable Use Policy.

6. Intellectual Property Rights

6.1 Hostaxo Intellectual Property: All content, features, functionality, and software provided through the Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are the property of Hostaxo LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content: You retain ownership of any content you upload, post, or transmit through the Services. By using the Services, you grant Hostaxo a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content solely for the purpose of providing the Services to you.

6.3 Trademarks: The Hostaxo name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Hostaxo LLC. You may not use such marks without our prior written permission.

7. Service Level Agreement and Uptime

Hostaxo strives to provide reliable Services and guarantees 99.9% uptime for hosting services. However, we do not guarantee that the Services will be uninterrupted, error-free, or completely secure. Scheduled maintenance, updates, and unforeseen circumstances may result in temporary service interruptions.

If we fail to meet our uptime guarantee, you may be eligible for service credits as outlined in our Service Level Agreement. Service credits are the sole and exclusive remedy for any downtime or service interruptions.

8. Data Backup and Data Loss

While Hostaxo performs regular backups of hosted websites, you are solely responsible for maintaining your own backups of all data, files, and content. Hostaxo is not responsible for any data loss, corruption, or deletion, regardless of the cause.

We recommend that you regularly back up your data to a location outside of Hostaxo's servers. Hostaxo will not be liable for any loss or damage resulting from your failure to maintain adequate backups.

9. Cancellation and Termination

9.1 Cancellation by You: You may cancel your Services at any time through your account dashboard or by contacting support. Cancellation requests must be submitted before your next billing cycle to avoid charges for the upcoming period.

9.2 Termination by Hostaxo: We reserve the right to suspend or terminate your account and Services immediately, without prior notice, if you:

• Violate these Terms or our Acceptable Use Policy
• Fail to pay fees when due
• Engage in fraudulent or illegal activities
• Use the Services in a manner that threatens the security or integrity of our systems

9.3 Effect of Termination: Upon termination, your right to use the Services will immediately cease. All data associated with your account may be permanently deleted after a grace period (typically 30 days). Hostaxo is not obligated to retain your data after termination.

9.4 Survival: Sections of these Terms that by their nature should survive termination will survive, including but not limited to payment obligations, intellectual property rights, limitations of liability, and dispute resolution.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOSTAXO LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL HOSTAXO'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO HOSTAXO IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Hostaxo LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your content caused damage to a third party.

12. Dispute Resolution

12.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws applicable to Hostaxo LLC, without regard to its conflict of law provisions.

12.2 Dispute Resolution: Any disputes arising out of or relating to these Terms or the Services shall be resolved through good faith negotiations. If a dispute cannot be resolved through negotiations, it shall be subject to binding arbitration in accordance with applicable arbitration rules, except where prohibited by law.

12.3 Class Action Waiver: You agree that any disputes will be resolved on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Changes to Terms

Hostaxo reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on hostaxo.com and updating the "Last updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Services and cancel your account.

14. Third-Party Services and Links

The Services may contain links to third-party websites, services, or resources. Hostaxo is not responsible for the availability, accuracy, or content of such third-party services. Your interactions with third parties are solely between you and the third party.

We may integrate third-party services (such as payment processors, analytics tools, or email services) into our Services. Your use of such third-party services is subject to their respective terms and conditions and privacy policies.

15. Force Majeure

Hostaxo shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, internet outages, or government actions.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Hostaxo regarding the Services and supersede all prior or contemporaneous communications, proposals, and agreements.
